End-User License Agreement

NF-EULA, version 2026-10-28. Accepted with its own checkbox on the intake form.

Document ID: NF-EULA Version: 2026-10-28

1. Who this agreement is with

This End-User License Agreement ("Agreement") is between you and Friends of the National Liver Waiting List Foundation, a Wyoming nonprofit corporation recognized as tax-exempt under Section 501(c)(3) of the Internal Revenue Code ("Friends," "we," "us," "our").

"You" means the individual who checks the NF-EULA box. If you accept on behalf of another person (for example, a family member you care for), you confirm you are authorized to do so, and "you" includes both of you.

If you use the Tools as part of your work for a hospital, transplant center, medical practice, business, or other organization ("Organization"), you accept this Agreement both for yourself and for that Organization, and you confirm you are authorized to bind it. Each individual who uses the Tools must complete Orientation and accept this Agreement and the NF-NDA personally; an Organization's acceptance does not extend access to any other person.

2. How you accept

You accept this Agreement by checking the box labeled with this document's name and version and submitting the intake form. Your acceptance is recorded with the date, time, document version, and the device information your browser sends. If you do not agree, do not check the box and do not use the Tools.

This Agreement is separate from the National Friends Confidentiality and Non-Disclosure Agreement (NF-NDA), which you accept with its own checkbox. Both are required to use the Tools.

3. Eligibility

You must be at least 18 years old, or use the Tools with a parent or legal guardian who accepts this Agreement for you.

Friends serves individuals and families, hospitals, transplant centers, the medical community, and businesses. Every user, in every category, is subject to the same Orientation requirement.

4. Definitions

  • "Site" means nationalfriends.org, including its subdomains and translated versions.
  • "Tools" means the Dual Listing Guide and Workbook; the Compare Transplant Centers tool; the MELD/PELD and other calculators; the AI Data Assistant; the interactive maps (including the MMaT topography and donor-supply views); and any other page or feature Friends designates as requiring orientation.
  • "Outputs" means anything the Tools display or produce: rankings, scores, estimates, maps, tables, charts, AI responses, downloads, and printouts.
  • "Orientation" means the required intake telephone call with Friends staff at the National Friends support line. Calls placed through a telecommunications relay service (711) are telephone calls for this purpose.
  • "Access" means permission to use the Tools, granted by Friends staff to you as an individual, identified by your name and phone number. Access lasts one (1) year from the grant, unless ended earlier under Section 18.

5. Orientation is required

Access to the Tools is granted only after you complete Orientation. Orientation calls are scheduled and conducted at Friends' discretion. If you reach voicemail, leave your name and callback number and Friends will return your call. Friends decides when Orientation is complete. Access is granted by Friends staff, during or after the call, to you as an individual, identified by the name and phone number you gave on the intake form. You may then use the Tools on any device by entering that name and phone number. Access is personal to you and, where Section 1 applies, the person you are accepting for.

6. Your license

Subject to this Agreement, Friends grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to:

  1. use the Tools and Outputs to understand and plan your own, or your family member's, liver transplant care, or, if you are accepting for an Organization, to assist an individual or family who is seeking assistance from Friends; and
  2. show or give Outputs to your own physicians and transplant team, and to the family members or caregivers directly involved in that care, for that purpose only, and save the page source of a Tools page solely to provide it to your own care team, as permitted by NF-NDA Section 5.

No one other than you may save or use page source under this permission unless that person has personally completed Orientation and accepted this Agreement and the NF-NDA.

What you write into the Workbook about yourself is yours.

7. What you may not do

You will not, and will not help anyone else to:

  1. copy, reproduce, republish, post, sell, rent, sublicense, or distribute the Tools or Outputs, except as Section 6 allows;
  2. let anyone else use your name and phone number, or any device you have used, to access the Tools, or share your Access in any other way;
  3. scrape, crawl, spider, or use any bot or other automated means to access the Site or collect data from it;
  4. save, extract, or copy the Site's source code, page source, data files, or network responses, or use developer tools, proxies, command-line clients, or similar software to do so, except as Section 6.2 allows;
  5. reverse engineer, decompile, disassemble, or try to derive the methods, models, formulas, data sources, or code behind the Tools;
  6. use the Tools or Outputs to build, train, test, or improve any product, database, map, model, artificial-intelligence system, or service;
  7. upload Tools content or Outputs into any AI system (including a chatbot) or any public dataset;
  8. sell, resell, license, or charge any person for access to the Tools or Outputs, or use them for any commercial purpose other than assisting an individual or family who is seeking assistance from Friends, unless Friends agrees in writing;
  9. remove or change any copyright, patent-pending, confidentiality, or attribution notice; or
  10. bypass or interfere with any access control or other security feature, including a rate limit.

8. Ownership

The Tools, Outputs, Site content, software, data compilations, methods, designs, and trademarks are owned by Friends of the National Liver Waiting List Foundation and protected by copyright, trade secret, trademark, and patent-pending rights. Friends is the applicant for the pending patents. Any third party that uses Friends' technology does so only under a license from Friends. Except for the license in Section 6, you receive no rights. All rights not expressly granted are reserved.

9. Not medical advice

The Tools give general information to help you prepare for conversations with your care team. They are not medical advice and do not diagnose or treat any condition. They do not create a doctor-patient or other professional relationship. Friends staff are not your physicians. Decisions about evaluation, listing, dual listing, and treatment are yours and your physicians'. If you have a medical emergency, call 911.

10. Data and accuracy

Some Outputs are built from public sources, including registry data from the Scientific Registry of Transplant Recipients (SRTR) and the Organ Procurement and Transplantation Network (OPTN), and provider data from the Centers for Medicare & Medicaid Services (CMS). These sources can be incomplete or out of date. Estimates describe groups of people, not you. Friends does not guarantee any Output or any transplant outcome.

11. AI Data Assistant

AI Data Assistant answers are generated automatically and can be wrong. Do not enter information you do not want stored. Check important answers with Friends staff or your care team.

12. Your information and communications

Friends handles the information you give at intake and while using the Tools as described in the Privacy Policy at nationalfriends.org/privacy/. Consent to calls and texts is given separately on the intake form and can be withdrawn at any time by replying STOP or contacting us.

13. Fair treatment

Friends serves every individual fairly and with dignity, and does not discriminate on the basis of race, color, national origin, age, disability, or sex. Free language assistance and disability accommodations are available for Orientation and use of the Tools. Request them through the Language and Accessibility Request form on the Site or at support@nationalfriends.org.

14. Suggestions

If you send us ideas or feedback, we may use them without obligation to you.

15. Disclaimer

THE TOOLS AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT THE LAW ALLOWS.

16. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, FRIENDS AND ITS DIRECTORS, OFFICERS, STAFF, VOLUNTEERS, AND ADVISORS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY HEALTH OUTCOME, ARISING FROM YOUR USE OF OR RELIANCE ON THE TOOLS. BECAUSE THE TOOLS ARE FREE, FRIENDS' TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO ONE HUNDRED U.S. DOLLARS (US $100). Some jurisdictions do not allow these limits, so they may not apply to you.

17. Indemnity

You will defend and hold harmless Friends from claims arising from your breach of this Agreement or the NF-NDA.

18. Suspension and termination

Friends may suspend or end your access at any time if you breach this Agreement or the NF-NDA, or to protect the Tools or other users. You may stop using the Tools at any time. Sections 7, 8, 9, 10, 15, 16, 17, 19, 20, and 21 survive termination.

19. Changes

Friends may update this Agreement. Each version has a new version date. Before you continue using the Tools after a material change, you will be asked to accept the new version.

20. Governing law and disputes

This Agreement is governed by the laws of the State of Wyoming, without regard to conflict-of-laws rules. Any dispute arising from this Agreement or the Tools will be resolved exclusively in the state courts located in Laramie County, Wyoming, or the United States District Court for the District of Wyoming in Cheyenne, and you consent to the personal jurisdiction of those courts. Friends may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or Confidential Information.

21. General

  • Entire agreement. This Agreement and the NF-NDA, together with the Privacy Policy, are the entire agreement about the Tools. If this Agreement and the NF-NDA conflict on confidentiality, the NF-NDA controls.
  • Severability. If any part is unenforceable, the rest stays in effect.
  • No waiver. Not enforcing a term is not a waiver.
  • Assignment. You may not assign this Agreement; Friends may assign it to a successor.
  • Language. Translations are provided for convenience. The English version controls.
  • Accessibility. This Agreement is available on request in other formats, including large print and audio.
